What is the Shareholder Quota in IPOs?
With the help of a subsidiary company, stakeholders could apply to be listed companies. This is called the parent company. Moreover, a parent company can be, when holding 50% of the partnership, a listed company.
To cite an example, ABC company is the parent company of XYZ (50%) partnership, called the parent company. Moreover, XYZ is going to be listed on NSE and BSE emerge, wherein investors must have 1 share of ABC in order to apply by shareholder quota.
Who Can Apply Under the Shareholder Category in IPOs?
HNI investors, retail investors, and employees of the parent company can apply for the shareholder quota in an IPO if they hold at least one share of the parent company on the record date. The record date is typically when the Red Herring Prospectus (RHP) is filed. Itās important to note that the parent companyās shares must be in the investorās demat account on the record date. Since India follows a T+2 settlement cycle, investors need to buy the shares at least two days before the record date to be eligible.

The question of who can apply under shareholders’ quota in an IPO is being subjected to different interpretations. Some say one should own shares on the date the DRHP is filed while some others say it should on a record date notified for that. Now, which is actually correct?

Example if A company IPO is coming up and B company shared to be in your demat account and the Record date is X. Then you should have atleast 1 share in your demat account before X date to apply in Share Holder, Retail/HNI both quota.
Record Date is the final meaning at End of that Day one should have the share in Demat Account credited
